Referral Program Terms and Conditions

These Referral Terms are the terms and conditions applicable to the Dollar Shave Club referral program (the “Referral Program”). Under the Referral Program, Dollar Shave Club offers its Members the opportunity to provide their friends, family, or other individuals (“Prospective Member(s)”) with a unique referral ID link (“Personal Referral Link”) that a Prospective Member can use to sign up for a Membership. For each Qualified Referral (as defined in section 2.3(e) below) generated through the Member’s Personal Referral Link, the Member may receive a credit as further described in section 2.3 (“Credit”). Members and Prospective Members who wish to take part in the Referral Program are bound by these Referral Terms in addition to the terms and conditions contained in the Terms of Service and DSC Privacy Policy and acknowledge and agree that they may receive communications from DSC from time to time in relation to the Referral Program. Capitalized terms used but not defined in these Referral Terms have the meaning given to those terms in the Terms of Service or Privacy Policy, as applicable. If you do not agree and abide by these Referral Terms, the Terms of Service or the DSC Privacy Policy in their entirety, you are not authorized to participate in the Referral Program. Members and Prospective Members may not participate in the Referral Program where doing so would be prohibited by any applicable law or regulations.

1. TERMINATION AND MODIFICATIONS

We reserve the right to suspend or terminate this Referral Program at any time in our reasonable commercial discretion (including if the administration, security or fairness of the Referral Program has been compromised in any way) or modify or amend at any time these Referral Terms and the methods through which any Credits may be earned. We also reserve the right to disqualify any Member or Prospective Member at any time from participation in the Referral Program in our reasonable commercial discretion.

2. PRIVACY

The personal information you submit to Dollar Shave Club is governed by the DSC Privacy Policy.

3. HOW THE REFERRAL PROGRAM WORKS

3.1 Referral Program Participation. Generally.

To participate, a Member shall provide the Prospective Member with the Member’s Personal Referral Link. The Prospective Member must click on the Personal Referral Link and complete the sign up in the same session, that is, within a reasonable period of time and without closing their Internet browser or pressing the "back" button. If the Prospective Member does not complete the sign up in the same session, the Member will be not be credited for that referral and will not be eligible for the Credit, even if the Prospective Member subsequently signs up for a Membership.

(a) Eligible Member. To be eligible for Referral Program and to receive Credits, a Member must:

i. Be a legal resident of the United States or Australia (as applicable);

ii. Be at least 18 years old;

iii. Have provided the Prospective Member with their correct unique Personal Referral Link; and

iv. Have a Membership account in good standing with DSC.

Employees of DSC, its service providers or any of its or their subsidiaries, affiliates or promotional agencies, including immediate family and household members, are not eligible.

(b) Personal Referral Links. DSC may offer Members the opportunity to create their own Personal Referral Link. Where available, and subject to the following, the Personal Referral Links may be of any length and include any combination of words and/or numbers of the Member’s choosing. Personal Referral Links shall be on a first come, first served basis. You can check your Personal Referral Link by going to www.dollarshaveclub.com/invite. DSC is in no way responsible for confirming or ensuring that the Personal Referral Link is accurate or correctly formatted or spelled. Under no circumstances may a Member transfer or sell a Personal Referral Link to another Member. Notwithstanding the foregoing, DSC reserves the right to revoke, ban, or amend any Personal Referral Link at any time and for any reason, including as set out below. The following Personal Referral Links are explicitly banned and may be grounds for suspension of Membership and removal of any Credits earned:

i. Personal Referral Links that imply a discount or savings on Membership (e.g. 5DollarsOff, 5buxOff, FreeBlades, 5Off, etc.);

ii. Personal Referral Links that DSC deems to be obscene, racist, sexist, or offensive in its sole discretion;

iii. Personal Referral Links that use a trademark, copyright, or the name of another individual; or

iv. Personal Referral Links that are promoted, advertised, or publicized on any DSC owned or operated websites, third party websites, social networks, and any other similarly situated Internet site, property, location, or asset where DSC is an administrator or trustee. By way of example, this includes but is not limited to Facebook, Twitter, Pinterest, DSC Blog, or any other similarly situated websites. Any or all Credits earned through a revoked, banned, or amended Personal Referral Link may be removed from Member's account by DSC.

i. Members can refer Prospective Members by giving their Personal Referral Link to the Prospective Member. Once a Prospective Member uses a Member’s Personal Referral Link and successfully completes the signup process for the DSC services, the Member may receive a communication from DSC confirming that the Prospective Member has signed up. A Member’s failure to receive such a confirmation communication means that the Prospective Member failed to complete the signup process (during the same session, or at all) and no Credit will have been earned. The Member and/or the Prospective Member may email DSC any comments or questions in regard to a failed referral, but whether to award Member the Credit shall be at DSC's reasonable discretion. Members may not refer themselves.

ii. By using a Personal Referral Link, a Prospective Member acknowledges and affirms his/her understanding that some of his/her personal information, including but not limited to his/her name and email address, may be sent to the Member who provided the Personal Referral Link as confirmation of the Prospective Member’s successful referral and sign-up with DSC. Accordingly, DSC strongly advises that Prospective Members only use a Personal Referral Link they receive from someone whom they personally know and trust. For their own security, Prospective Members should not use a Personal Referral Link if they receive it from an unknown, untrusted, or public source, such as an Internet forum.

(d) Qualified Referrals. A Qualified Referral means that all the following conditions are met:

i. The Prospective Member completed the registration process for a razor subscription Membership using the Member’s Personal Referral Link. If a Prospective Member registers for a Membership using any other link or method, the registration will not count as a Qualified Referral and the Member will not be rewarded a Credit;

ii. The Prospective Member was not previously registered with the Service under any other email address or alias; and

iii. The Prospective Member is a) at least 18 years old; b) meets the eligibility requirements to become a Member of DSC’s services; and c) has consented to receiving communications from DSC.

(c) Earning Credits. Member shall receive credits as set out on DSC's Account page, which may be changed from time to time, for each verified Qualified Referral generated through the Member’s Personal Referral Link (please see paragraph (g) below). Such credit may only be applied in the amount specified by DSC towards the Member’s purchase of future services from DSC.

(f) Verified Qualified Referrals. All Credits are subject to verification. DSC may delay a Credit for the purposes of investigation. DSC may also refuse to verify and process any transaction DSC deems, in its reasonable discretion, to be fraudulent, suspicious, or in violation of these Referral Terms, or DSC believes will impose potential liability on DSC beyond what is reasonable for this Referral Program, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. DSC may cancel, amend or revoke the Credit at any time due to business considerations of circumstances beyond DSC's control. While DSC takes reasonable commercial efforts to ensure the Referral Program operates in accordance with these Referral Terms, you acknowledge and agree that DSC is not responsible for errors, omissions, malfunctions, interruptions, deletions, delays or failures of operations. All of DSC's decisions are final and binding, including decisions as to whether a Qualified Referral or Credit is verified.

(g) Value of Credit. Credits have absolutely no monetary value and may not, under any circumstances, be redeemed for cash or any cash equivalent including but not limited to gift cards, certificates, or refunds. DSC may cancel, amend or revoke the Credit at any time in its reasonable commercial discretion.

(h) Transfer of Credits. Credits are personal to the Member and are not transferable and may not be auctioned, traded, bartered or sold, whether by operation of law or otherwise. Upon termination of the Referral Program or any portion thereof for any reason, or upon cancellation of a Member’s account for any reason, any unredeemed Credits (including without limitation any unapplied credits) accumulated by the Member are forfeited.

4. DISCLAIMERS

To the maximum extent permitted by applicable law, DSC disclaims any liability for:

(a) damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Referral Program, and reserve the right, in their sole discretion, to cancel, modify or suspend the Referral Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond DSC's control, corrupt the administration, security or proper play of the Referral Program;

(b) late, lost, delayed, stolen, misdirected, incomplete, inaccurate, unreliable, garbled or unintelligible registrations, links or communications, regardless of the method of transmission;

(d) any injuries, losses or damages of any kind resulting from acceptance, possession or use of a Credit, or from participation in the Referral Program, that were not reasonably foreseeable to DSC at the relevant time;

(e) any printing, typographical, administrative or technological errors in any website or materials associated with the Referral Program;

(f) claims and demands made, and damages sought in disputes between users of the Referral Program; and

(g) failure to supply any Credit or any part thereof, by reason of force majeure.

NOTHING IN THESE REFERRAL TERMS EXCLUDES, RESTRICTS OR MODIFIES ANY GUARANTEE, CONDITION, REPRESENTATION, WARRANTY OR TERM WHICH CANNOT LAWFULLY BE EXCLUDED, RESTRICTED OR MODIFIED. IF ANY GUARANTEE, CONDITION, REPRESENTATION, WARRANTY OR TERM IS IMPLIED OR IMPOSED BY ANY APPLICABLE LAW AND CANNOT BE EXCLUDED (A "NON-EXCLUDABLE PROVISION"), AND WE ARE ABLE TO LIMIT YOUR REMEDY FOR A BREACH OF THE NON-EXCLUDABLE PROVISION, THEN OUR LIABILITY FOR BREACH OF THE NON-EXCLUDABLE PROVISION IS LIMITED EXCLUSIVELY (SO FAR AS APPLICABLE LAWS DO NOT PROHIBIT) TO, AT OUR OPTION, (A) IN THE CASE OF SERVICES, THE SUPPLYING OF THE SERVICES AGAIN, OR THE PAYMENT OF THE COST OF HAVING THE SERVICES SUPPLIED AGAIN AND (B) IN THE CASE OF GOODS, THE REPLACEMENT OF THE GOODS OR THE SUPPLY OF EQUIVALENT GOODS, THE REPAIR OF THE GOODS, THE PAYMENT OF THE COST OF REPLACING THE GOODS OR ACQUIRING EQUIVALENT GOODS, OR THE PAYMENT OF THE COST OF HAVING THE GOODS REPAIRED.

5. CONDUCT

Members and Prospective Members agree to comply with all applicable laws (including spam and privacy laws as they relate to them) and to not interfere with other Members or Prospective Member use of the DSC Services. In participating in the Referral Program, Members and Prospective Members also agree to not engage in behavior that would be deemed to be misleading, deceptive, harassing, fraudulent, suspicious or similar.

DSC reserves the right to suspend, disqualify or terminate any Member’s or Prospective Member’s participation in the Referral Program and forfeit any Credits or credits earned if the Member or Prospective Member is found to have engaged in any prohibited conduct or otherwise violated the provisions of this Section 5. If Members have engaged in prohibited conduct, spam or fraudulent or suspicious behavior that undermines or affects the integrity or credibility of the Referral Program, and DSC is unable to find a solution to restore the integrity and credibility of the Referral Program, then DSC may in its sole discretion cancel, change or suspect the Referral Program.

CAUTION: ANY DELIBERATE ATTEMPT TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE REFERRAL PROGRAM MAY CONSTITUTE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM FURTHER PARTICIPATION IN THE REFERRAL PROGRAM. DSC RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION, IN THE EVENT OF ANY SUCH ATTEMPT.
